Nondisclosure Agreement (NDA)

This Nondisclosure Agreement ("Agreement") is entered into by and between LP Productions, LLC ("Disclosing Party") and User ("Receiving Party") for the purpose of preventing the unauthorized disclosure of the screenplays available on the website "louisianascreenplays.com" of the Disclosing Party.


1. Confidential Information

The term "Confidential Information" shall mean any and all screenplays, scripts, or related materials that are made available on the website "louisianascreenplays.com" of the Disclosing Party, whether in written, oral, electronic, or other form.


2. Ownership of Works

The screenplays or "works" made available on the website "louisianascreenplays.com" remain the sole property of their respective authors.


3. Obligations of Receiving Party

The Receiving Party agrees to:



3.1. Maintain the confidentiality of the Confidential Information using the same degree of care it uses to protect its own confidential information, but no less than a reasonable degree of care.


3.2. Not disclose the Confidential Information to any third party without the prior written consent of the Disclosing Party.


3.3. Use the Confidential Information solely for the purpose of evaluating or discussing potential collaboration or for any other purpose for which it was disclosed.


3.4. Limit access to the Confidential Information to employees or contractors with a legitimate need to know, and who are bound by a similar confidentiality obligation.


4. Exceptions

The Receiving Party's obligations under this Agreement do not apply to information that:


4.1. Is or becomes publicly available through no fault of the Receiving Party.


4.2. Was already known to the Receiving Party prior to the disclosure and was not subject to a prior nondisclosure agreement.


4.3. Is rightfully obtained by the Receiving Party from a third party without an obligation of confidentiality.


5. Term and Termination

This Agreement shall remain in effect for 2 years from the date of execution. Upon termination, the Receiving Party shall promptly return or destroy all Confidential Information.


6. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Louisiana.


Indemnity Clause

LP Productions, LLC ("LP Productions") shall remain blameless and indemnified by the Receiving Party for any claims, losses, damages, or liabilities arising from the Receiving Party's breach of this Agreement, unauthorized disclosure of Confidential Information, or any other violation of their obligations herein.
